Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Doculore’s desktop application, connectors, and related services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.

Eligibility & Accounts

You must have authority to bind your organization where applicable. You are responsible for maintaining the confidentiality of any credentials used to access the Services.

License & Use

Subject to these Terms, Doculore grants you a limited, non‑exclusive, non‑transferable license to install and use the desktop application and associated components solely for your internal business purposes.

Your Content

You retain ownership of documents and data you process with Doculore. You are responsible for ensuring you have the rights to process such content and for complying with applicable laws and policies.

Prohibited Conduct

You agree not to: (i) reverse engineer or attempt to derive source code; (ii) use the Services to infringe IP rights or violate privacy; (iii) upload malicious code; (iv) circumvent technical controls; (v) use the Services for unlawful, harmful, or high‑risk purposes without appropriate safeguards.

Third‑Party Services

The Services may enable connections to third‑party storage or model endpoints. Your use of those services is governed by their terms. Doculore is not responsible for third‑party services and does not assume obligations arising from your separate agreements.

Google API Integrations

Doculore offers optional integrations with Google services (Gmail, Google Drive) via OAuth. By authorizing these integrations, you grant Doculore permission to access certain data through the following scopes:

  • gmail.metadata – Access email metadata (sender, recipient, subject, timestamps, labels) for indexing and search. We do not access email body content or attachments via this scope.
  • drive.readonly / drive.metadata.readonly – List and read metadata (and, where applicable, contents) of files in your Google Drive to enable document discovery, OCR, and search.

Your use of these integrations is also subject to Google's Terms of Service. Doculore's use of Google user data complies with the Google API Services User Data Policy, including Limited Use requirements. You may revoke Doculore's access at any time via your Google Account settings or within the Doculore application.

Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect information. Please review it carefully.

Intellectual Property

Doculore and its licensors retain all rights, title, and interest in and to the Services, software, documentation, and trademarks. Except for the limited rights expressly granted, no rights are granted by implication.

Feedback

You may provide suggestions, comments, or feedback. Doculore may use feedback without restriction and without obligation to you.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." DOCULORE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCULORE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You will indemnify and hold Doculore harmless from claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services in violation of these Terms, or your violation of any law or third‑party right.

Suspension & Termination

We may suspend or terminate access for violations of these Terms or to protect the Services, users, or third parties. Upon termination, your right to use the Services ceases immediately.

Export & Compliance

You represent that you are not prohibited from using or receiving the Services under applicable export laws or sanctions regimes and will comply with all such laws.

Governing Law & Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict of laws. Exclusive jurisdiction and venue lie in the state and federal courts located in King County, Washington, unless otherwise required by law.

Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via release notes or our website. Your continued use of the Services constitutes acceptance of the updated Terms.
